1.Agreement to these Terms
Lapis ("Lapis", "we", "us") is a software platform available at uselapis.io, operated by AUS Consulting. Lapis provides website-building, storefront-hosting, and business-tooling software to merchants and store owners ("Operators").
By creating an account, starting a trial, or using any part of the platform, you agree to these Terms of Service. If you use Lapis on behalf of a company, you confirm you have authority to bind that company to these Terms. If you do not agree, do not use the platform.
2.What Lapis is, and what it is not
Lapis is a software platform. We build and host the tools Operators use to run their own online stores: a site builder, storefront hosting, order management, analytics, and related business tooling.
Lapis is not a merchant, seller, manufacturer, distributor, or party to any transaction conducted on a storefront built with the platform. Every purchase made on an Operator's storefront is a transaction between the customer and that Operator alone.
Operators are solely responsible for their products, listings, marketing claims, regulatory compliance (including FDA and other applicable regulatory requirements), taxes, fulfillment, refunds, and customer relationships.
If you are a customer of a store hosted on Lapis, your purchase, your data, and any product questions are governed by that store Operator's own terms and policies, contact the Operator first.
3.Operator responsibilities
As an Operator, you run your own business. You are solely responsible for:
- The legality, safety, and quality of every product you list or sell.
- The accuracy of your listings, descriptions, pricing, and every claim made on your storefront.
- Compliance with all laws and regulations that apply to your products and your customers, including FDA and other regulatory requirements, consumer-protection law, and advertising rules.
- Obtaining any licenses or permits your business requires.
- Calculating, collecting, and remitting all applicable taxes.
- Fulfillment, shipping, returns, and refunds.
- Customer service and every customer relationship on your store.
- Publishing your own storefront policies (terms of sale, privacy, shipping, refunds) that accurately describe how your store operates.
4.Acceptable use
Operators must use the platform lawfully. You may not use Lapis to:
- Sell illegal products, or controlled substances where their sale is prohibited.
- Engage in fraud, deceptive practices, or misrepresentation including false health or medical claims.
- Infringe the intellectual-property rights of others.
- Distribute malware, attempt to breach the platform's security, or interfere with other Operators' stores.
- Circumvent billing, metering, or usage limits.
Lapis may suspend or terminate any account or storefront that violates these Terms, at its sole discretion, with or without notice, and without liability to the Operator or any third party.
5.Research-use products
Some Operators sell research compounds. Storefronts offering such products must market them strictly for laboratory research use, and must not market, label, or describe them for human consumption or therapeutic use.
Operators bear full responsibility for this compliance, including appropriate labeling, disclaimers, purchaser qualification, and adherence to all applicable law. Lapis provides software tooling only; we do not review, approve, or endorse any product sold through a storefront built with the platform.
6.Accounts and security
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at austin@byaus.co if you suspect unauthorized access to your account.
7.Subscriptions and billing
Paid subscriptions are billed through Whop, our third-party billing partner. Plan pricing and billing cycles are presented at checkout. Subscriptions renew automatically until canceled; cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where a refund is required by law.
- Add-ons, such as AI credits, renew monthly and can be canceled at any time, effective at the end of the billing period.
- Free trials convert to paid subscriptions unless canceled before the trial ends.
- We may change pricing with advance notice; changes apply from your next billing cycle.
- Non-payment may result in suspension of your account and hosted storefronts.
8.AI features
Parts of the platform generate content or take actions using AI for example, copywriting, image work, and store editing. AI usage is metered and may consume plan allowances or purchased credits.
AI outputs are provided as-is. They may be inaccurate or incomplete, and the Operator must review all AI-generated content before publishing it. Operators are fully responsible for anything they publish on their storefronts, including AI-generated text and any claims it contains.
9.Intellectual property
Lapis owns the platform, the software, themes, design systems, templates, documentation, and everything else that makes the product work. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform while your account is in good standing. It does not transfer any ownership of the platform to you.
Operators own their content: their brand, product data, images, copy, and customer relationships. You grant Lapis a license to host, display, and process that content solely to provide the service.
If you send us feedback or suggestions, we may use them to improve the platform without restriction or obligation to you.
10.Third-party services
The platform integrates with third-party services, payment processors, shipping carriers, authentication providers (such as Google sign-in), billing (Whop), and infrastructure providers. Those services are governed by their own terms and privacy policies, and Lapis is not responsible for them. An Operator's choice to connect or rely on a third-party service is the Operator's own.
11.Disclaimer of warranties
The platform is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure, or that using it will produce any particular business result or level of sales.
12.Limitation of liability
To the maximum extent permitted by law, Lapis and AUS Consulting will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.
Our total aggregate liability for all claims relating to the platform is capped at the fees you paid to Lapis in the three (3) months before the event giving rise to the claim. Where a jurisdiction does not allow certain limitations, these limits apply to the fullest extent that jurisdiction permits.
13.Indemnification
Operators will indemnify, defend, and hold harmless Lapis, AUS Consulting, and their personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from the Operator's store, products, listings, marketing claims, regulatory non-compliance, tax obligations, or other conduct, including any claim brought by a customer of the Operator's storefront.
14.Termination and data export
You may cancel your subscription at any time, effective at the end of the current billing period. We may suspend or terminate accounts that breach these Terms, as described in the acceptable-use section.
When an account ends, hosted storefronts are taken offline. For thirty (30) days after termination, Operators may request an export of their store data, products, orders, and customer records, by contacting austin@byaus.co. After that window we may permanently delete the data.
15.Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give notice, by email or in-product, before it takes effect. The "Last updated" date at the top of this page reflects the current version. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.
16.Governing law
These Terms are governed by the laws of the United States and of the state in which AUS Consulting is organized, without regard to conflict-of-law principles. Any dispute will be resolved in the courts of that jurisdiction, and both parties consent to their jurisdiction and venue.
